Shelf
A Rule 415 registration framework that can let an issuer offer securities later, continuously or in one or more takedowns, while the registration remains usable.
Calculation framework
Estimated shelf remaining = registered maximum − takedowns attributed to that registrationNear-term usable capacity = minimum of shelf remaining, program limits, eligibility, and corporate or exchange capsWhat traders should verify
Track effectiveness, expiration or replacement, security types, prospectus supplements, sale disclosures, and whether multiple programs draw from the same shelf.
Do not conflate
A large shelf ceiling is not the same as imminent supply and must not be added again to an ATM or Equity Line that uses it.
