Core terms

Public Offering

An offering made to public investors. It may include securities sold by the issuer, existing holders, or both; public versus private and primary versus resale are separate classifications.

What traders should verify

For Public Offering, identify the exemption or registration path, issuer, securities, investors, amount, first-sale or effectiveness date, closing evidence, proceeds, and ongoing filings.

Do not conflate

A filing, authorization, exemption, marketing event, or stated maximum involving Public Offering does not prove that an offering closed or that cash was received.
