FRTT: 14 Times Its Share Count Traded on a Distribution Deal With No Dollar Figure
A subsidiary's regional distributor deal with no stated value, 209.7 million shares traded against 15.0 million outstanding, and the share pools behind it.

Data to the close of October 20, 2026 (ET). Sources checked October 21, 2026, 13:50 ET.
Fort Technology (FRTT) had 15,042,582 shares outstanding as of September 7, 2026. On October 20, 209,680,815 shares traded, about 14 times that count. The trigger was a filing with no dollar amount, no order and no minimum purchase. So the question is not what the agreement is worth. It is which share numbers sit behind a print like that.
What happened: the facts
The filing. At 08:09:24 ET the company's Form 6-K was accepted, attaching a release dated October 20. It says Logia USA, a majority-owned subsidiary, granted Schwab Vollhaber Lubratt, a Minnesota-based commercial HVAC manufacturer's representative, the exclusive right to "purchase and resell" Logia's automated fuel-maintenance systems. The territory covers North Dakota, Minnesota, Wisconsin, Iowa, Michigan's Upper Peninsula and listed Illinois counties. The term runs from October 12, 2026 to July 31, 2027. The release gives no contract value, volume commitment or revenue figure.
The subsidiary. Fort's core business sells pest-control and repair products online in the U.K. and Europe. It bought 50.1% of Logia USA for 132,603 Fort shares worth US$125,000, a deal that closed August 26. The August 11 terms state that Logia USA "has not yet commenced sales in the United States". Fort's US$2.0 million credit line to Logia releases its second tranche on US$200,000 of sales in Q4 2026.

In FennEdge's stored five-minute series, FRTT traded at $0.53–$0.56 from 04:15 to 07:25 ET. It printed $0.67 in the 07:30 ET bar and $0.75 in the 08:10 ET bar. The move started before the SEC acceptance time. The release carries only a date, and we did not verify when it was distributed. The recap's low of day is not stored, so it is omitted.
Two filings just before. On October 16 the company disclosed a Nasdaq minimum-bid notice, received October 13. To regain compliance it needs a closing bid of at least $1.00 for 10 consecutive business days by April 12, 2027. October 20's high was $0.9101. On October 19 at 16:15 ET, after the close, it filed a Form S-8 registering 1,775,716 shares for its equity incentive plan. That filing falls inside the recap's evidence window but is not listed in its evidence block.
The market and the data
Breadth on the October 20 market page was 1,986 advancers, 914 decliners and 128 unchanged. FennEdge-estimated small-cap dollar volume was about $19.1 billion, against $16.5 billion on October 19, and FESCI stood at 4.59 at 20:00 ET (5.47 the prior session). Of the 11 names that gapped at least 10% on at least one million shares, 4 ran, 3 held and 4 faded. FRTT was one of the faders.
The day's highs came late. Among the top ten, two highs printed in premarket, four in the first half hour, one in late morning and three after hours. On October 19 it was seven in premarket. FRTT's high came in the 09:30 minute itself. In the 671-gap study, only 21 names (3.1%) did that (high-time section), and 65.3% closed below the open (closing section). These are historical frequencies, not odds.
FennEdge's interpretation
Interpretation and a checklist, not a forecast or a trading recommendation.
The agreement has no size yet. The counterparty is a reseller with a territory, not an end customer with an order. There is no figure to value, and the subsidiary had reported no U.S. sales as of August. Evidence that would change this reading: a filing with orders, shipments or recognized revenue. The first marker is the US$200,000 sales milestone for Q4 2026.
Success shrinks Fort's slice by contract. Under the equity rebalancing terms, Fort's 50.1% of Logia USA falls to 30% once Logia's cumulative sales pass US$50 million. It then falls to 20%, 15% and finally 5% at US$250 million. Logia's founder can also receive up to 2,652,058 Fort shares on milestones. A "data-center" headline at the subsidiary does not translate one-for-one into value per FRTT share.
The volume measures rotation, not new owners. The 13D filer, Nexera Technologies, held 10,558,832 shares directly. That leaves 4,483,750 shares outside that holding, and the day's volume equals about 47 times that pool. The FennEdge-estimated dollar volume was about 14 times the company's market value at the close ($10.7 million, using the September 7 count). This is a FennEdge computation. Falsifier: if the controlling holder sold 1% or more of the class, an amended 13D is due within two business days. None had been filed as of October 21, 13:50 ET; the window for an October 20 change runs through October 22.
Keep three share numbers apart.
- Outstanding: 15,042,582 as of September 7.
- Registered for the plan: 1,775,716 under the S-8. That is registered, not yet issued.
- Could be issued: the plan shares, 1,949,794 unit warrants at $1.862 to August 2030 (858,031 of them held by the 13D filer), up to 3,142,858 contingent shares for the 13D filer, and up to 2,652,058 founder shares. Together that is about 9.5 million, roughly 63% of the outstanding count.
Each pool has its own trigger. The warrants' strike is 2.6 times the October 20 close. The next 1,571,429 contingent shares are owed once Fort's equity and debt financing reaches US$8 million in aggregate, within 48 months of July 2025.
What is still unknown
- The release's distribution time, and why the price moved before 08:09 ET.
- Share issuances or warrant exercises after September 7.
- Whether any large holder sold on October 20. As a foreign private issuer, Fort's insiders do not file Section 16 trade reports, so the 13D amendment is the main public signal.
- Trading on the TSX Venture line, which is not in these totals.
- We did not complete a social-media sample for this session; nothing above relies on one.
