OLOX: A $22 Million Acquisition Paid in Preferred Stock That Converts Into 21 Million Shares
OLOX gapped on an acquisition paid mostly in Series F preferred. At the $1.00 conversion price that is 21 million shares, against 1.66 million outstanding.

Data to the close of October 21, 2026 (ET). Sources checked October 21, 2026, 20:17 ET.
OLOX stock opened 67.6% higher on October 21 after Olenox Industries said it had bought two energy companies for $22.0 million. Olenox had 1,659,347 common shares outstanding in August. At the prior close that was a market value of about $1.2 million. Almost all of the price was paid in a new Series F preferred that converts at $1.00 a share, which works out to about 21 million common shares. The filing that moved the stock is mostly about share counts, not gas fields.
What happened: the facts
The filing. Olenox's Form 8-K was accepted at 21:08:07 ET on October 20, after the close. It reports an equity purchase agreement signed and closed on October 19. Olenox bought IPD Industries, a Texas company with a 100 MW self-generator registration near Pecos, and Wildboy Holdings, which holds a gas processing plant and about 184,785 acres in northeastern British Columbia. The press release cites about 56.8 billion cubic feet of proved developed gas from a September 30 reserve report, a company figure. The financial statements of the acquired companies will come in a later amendment, within 71 days of the 8-K's due date.
The price, by component.
| Component | Amount | Value used in the deal |
|---|---|---|
| Common stock | 700,000 shares | $1.00 each, $0.7 million |
| Series F preferred | 210,000 shares, $100 stated value each | $21.0 million |
| Cash | $300,000, less debt, expenses and the deposit | effectively $0 |
| Total | $22.0 million |
The release says $21.7 million. That is the stock portion only. Olenox had already paid a $328,561.45 deposit, more than the $300,000 cash payment, so the sellers got no cash at closing, and Olenox kept back 285 preferred and 61 common shares to cover the difference.
What the preferred is. Under the certificate of designation, each Series F share converts into its $100 stated value divided by $1.00, or 100 common shares. 210,000 shares make 21,000,000 common, or 20,971,500 after the holdback. The conversion price is fixed. The agreement rules out price-based anti-dilution and any penalty if shareholders never approve conversion. Series F has no vote.
Four gates before those shares trade.
- A shareholder vote. Nasdaq Rule 5635 requires shareholder approval before a company issues 20% or more of its stock in a deal like this. The agreement says no Series F converts "unless and until" that approval. Olenox only has to use "commercially reasonable efforts" to seek it after closing.
- A 19.9% exchange cap. Until approval, the certificate limits conversions to 19.9% of the common outstanding just before closing. On the August count that is about 330,000 shares.
- Ownership caps. No holder may convert above 4.9% of the common, and separate ceilings apply at 9.9% and 19.9%.
- A lock-up, then a leak-out. The sellers cannot sell for six months. After that, each may sell no more than the lesser of 4.9% of the outstanding common or 19.9% of the prior 30 trading days' average volume.
The two documents do not say quite the same thing. The certificate allows conversions up to the 19.9% cap before a vote. The agreement says none at all. The sellers' lock-up letter words the cap more widely: it also counts other securities issued in the same transaction. The 700,000 closing shares alone equal 42% of the August count. If they count, the cap is already used up and both documents end at zero.

In FennEdge's stored five-minute series, OLOX sat at 0.74–0.76 from 04:10 to 06:15 ET, long after the filing. It printed $0.93 in the 06:25 ET bar and first closed a bar above $1.00 at 07:10 ET. After the open it slipped below $1.00 by 09:40 ET, printed $0.8775 in the 10:30 ET bar and spent the afternoon near $1.00. After hours it drifted to $0.8665 by 19:55 ET. The recap does not store a low of day, so it is omitted.
The market and the data
Breadth on the October 21 market page was 1,393 advancers, 1,496 decliners and 104 unchanged. FennEdge-estimated small-cap dollar volume was about $17.7 billion, against $19.1 billion on October 20, and FESCI stood at 3.85 at 20:00 ET (4.59 the prior session). Of the 12 names that gapped at least 10% on at least one million shares, 2 ran, 3 held and 7 faded. All three of the top three, OLOX included, faded.
Among the top ten, five highs printed in premarket, three between 09:30 and 10:00 ET, and two later in the day. OLOX's high came in the 09:30 minute itself. In the 671-gap study, only 21 names (3.1%) did that (high-time section), and 65.3% closed below the open (closing section). These are historical frequencies, not odds.
FennEdge's interpretation
Interpretation and a checklist, not a forecast or a trading recommendation.
- The deal is many times the size of the company buying it. Olenox paid $22.0 million in stated value for two businesses. Its own common stock was worth about $1.2 million at the October 20 close, roughly one-eighteenth of that. When the buyer is that much smaller, the question is how much of the combined company the sellers now have a claim on. What would change this reading: the acquired companies' audited financials, due in the 8-K amendment, showing revenue or cash flow that supports the $22.0 million.
- $1.00 is the line to watch. Every Series F conversion happens at $1.00, and the 700,000 common shares were also valued at $1.00. On October 21 the stock crossed that line both ways. It first closed a five-minute bar above $1.00 at 07:10 ET, opened at $1.235 and finished the regular session at $1.01. Above $1.00, the 100 common shares behind each preferred are worth more than its $100 stated value. Below $1.00 they are worth less. Either way, nothing converts until the gates above open.
- The dilution is real, but it isn't for sale yet. This deal adds 700,000 restricted common shares and a claim on about 21 million more. None of it can be sold for six months, and after that only through the leak-out. The deal changes who owns the company. It does not put new shares on the tape this month.
- Series F joins an existing preferred stack. At June 30, Olenox's 10-Q listed 137,840 Series E shares ($100 stated value, convertible at 1.00)and2, 928SeriesCshares(1,000 stated value, converted at $1.00 in August). It also listed 3,809,640 Series A shares, which convert only after a common-shareholder vote. On stated value alone, Series E is about 13.8 million common shares and Series C about 2.9 million. Add Series F and that is roughly 37.7 million, before Series A and before any caps. The common count is about 2.4 million after this deal. These are FennEdge computations for scale, not a forecast. The falsifier is a proxy or information statement asking shareholders to approve conversion. Until one is filed, the 21 million is a claim, not a share count.
What is still unknown
- Whether and when Olenox will ask shareholders to approve Series F conversion. As of 20:17 ET no proxy or information statement had been filed.
- The acquired companies' revenue, debt and cash. Their financial statements are not yet filed, and the cash line in the price was reduced by their debt.
- How the Series A conversion ratio, set at 64 common per preferred share before the May 8, 2026 1-for-10 reverse split, applies today. The 10-Q passages we read do not restate it.
- The share count immediately before closing. It is the base for both Nasdaq's 20% test and the 19.9% cap, and the 8-K does not give it. The latest count we found is 1,659,347 on August 18.
- Which reading of the cap applies before a vote: the certificate's or the agreement's.
- We did not take a social-media sample for this session; nothing above relies on one.
