Market Analysis

SPRC Gapped 46% in the Morning. The Financing Filing Came at 4:01 p.m.

SciSparc cut the exercise price on 405,728 warrants. Read the cash proceeds, current share count and 4.99% blocker separately.

October 26, 2026, Eastern Time. Regular-session figures use the first Daily ranking stored at 16:46 ET; separately labeled after-hours quotes are from 16:30–16:32 ET. Source documents checked after the close. This is an early recap, not the completed after-hours edition.

SciSparc's financing document reached the SEC just after Monday's regular session ended. The transaction is small in dollars, but large enough relative to the disclosed share count to deserve careful arithmetic. It also supplies an important timing boundary: a 4:01 p.m. filing is not, on its own, an explanation for a morning rally.

What the filings say

The 6-K index records acceptance at 16:01:04 ET. The report says L.I.A Pure Capital agreed to cash exercise existing warrants covering 405,728 ordinary shares, with the exercise price reduced from $4.929 to $1.00. The company expected approximately $405,728 in gross proceeds, before costs, for general working-capital purposes. Closing was expected on or about October 27, subject to conditions.

The signed inducement letter supplies a newer denominator: 2,057,719 ordinary shares issued and outstanding as of October 26. That is more relevant to this transaction than a historical annual-report share count in a market summary.

Item Calculation or disclosure
Existing shares stated in the agreement 2,057,719
Shares covered by the cash exercise 405,728
Potential total after the full share issuance, assuming no other changes 2,463,447
Exercise shares / stated pre-transaction shares About 19.7%
Exercise shares / illustrative post-issuance total About 16.5%

The percentages answer different questions. The first measures the increase relative to the old count; the second measures the new shares' portion of the resulting total. Neither is an independently confirmed closing share count.

The blocker does not cancel the remaining shares

The letter states a 4.99% beneficial-ownership limitation. If issuing all shares at once would exceed the holder's limit, the excess can be held in abeyance until it may be issued within that limitation. The associated warrants are then treated as prepaid; no further exercise price is due for that balance.

That limits delivery at a point in time. It does not erase the remaining economic entitlement or guarantee that only 4.99% can ever be issued. Actual capacity depends on the holder's other holdings and the then-current denominator, so this article does not estimate an immediate deliverable share count.

The report says the underlying shares' resale had already been registered under an effective F-3. Registration permits eligible resales subject to the applicable terms; it does not prove that the holder sold shares on Monday. These documents describe reduced-price exercise of existing warrants. We do not invent an additional replacement-warrant package.

How the day traded

The Daily ranking, stored at 16:46 ET, put SPRC second by opening gap: prior close $1.09, open $1.595 (+46.33%), stored daily close $1.29 (+18.35%). It therefore finished about 19.1% below its open, despite remaining up versus the previous session. The research page later showed $0.8911 at 16:32 ET, an after-hours observation about 30.9% below the stored close. A separate earlier close capture showed $1.28; we keep that capture distinct from the later daily-bar close. The sequence is consistent with a changing market after the filing, but does not prove the filing caused every trade.

The SEC acceptance time is later than the 16:00 regular close. It establishes when the filing became part of the public record, not when negotiations began or whether any separate disclosure appeared earlier. Claims that this document caused the entire premarket move go beyond the evidence.

What we read into it

FennEdge's interpretation, not a recommendation.

Cash arrives with a change in potential share supply. The meaningful reading is not just the financing headline: it is the exercise price, gross versus net proceeds, current share denominator, registration status and delivery restrictions together.

Reducing an old exercise price makes exercise more feasible; it does not mean the company raised the amount it would have received at the former price. The financing also does not validate the company's separate clinical or agentic-AI claims.

What we don't know

The final closing status, net proceeds, timing of shares held in abeyance and actual resales were not established by this announcement. We also do not know which participants had which information before the filing. Those gaps should remain unknowns, not become accusations.
