BOLT Gaps 66.6% on Prana Deal; $120 Million Financing Still Awaited

BOLT opened 66.6% higher on October 23 after acquiring Prana. The $120 million financing was expected to close October 26; legacy holders would own 6.9% on the stated diluted basis.

A retrospective of October 23, 2026. Market figures below describe that session; company and SEC disclosures were checked October 25 ET. Later discussion is separated from contemporaneous evidence.

Bolt Biotherapeutics opened at $6.98 on October 23, up 66.6% from $4.19, the second-largest opening gap in the day's FennEdge ranking. It closed at $6.27, up 49.6%. The event was a change in what the public company owns and how that business would be financed: Bolt acquired Prana Therapies and signed a $120 million private placement.

The distinction matters. The acquisition had closed. The financing was expected to close on October 26. Another potential $60 million depended on future warrant exercise. Those were three different stages, not $180 million already received.

What had closed, and what had only been agreed

Bolt's company announcement was published at 9:08 a.m. ET. Its 8-K was accepted by the SEC at 10:31:29 a.m., according to the filing index. The SEC acceptance time was not the first public announcement time.

The stock-for-stock acquisition exchanged Prana's equity for 430,746 Bolt common shares and 16,360.929 Series D preferred shares. Each preferred share represents 1,000 common shares upon conversion, subject to the stated conditions. Together, the acquisition consideration represented 16,791,675 common shares on an as-converted basis.

Alongside that acquisition, investors agreed to buy 13,995.311 Series D preferred shares for $120 million in gross proceeds. That is 13,995,311 common-share equivalents at $8.5743 each. The package also included warrants for up to 6,997,655 additional common shares, or preferred shares in certain circumstances, at the stated equivalent exercise price. Full cash exercise could bring approximately $60 million more; the filing explicitly provides no assurance of exercise.

As described on October 23, the financing was expected to close on October 26, subject to customary conditions. This retrospective does not treat that expected closing as a completed receipt of cash.

The ownership table changes the denominator

The company described the post-financing ownership on its stated fully diluted basis as approximately 51.7% for former Prana holders, 41.4% for financing investors and 6.9% for legacy Bolt holders. Those percentages assume preferred conversion, disregard beneficial-ownership limits and use the company's specified treasury-stock-method treatment. They are not percentages of freely tradable stock on October 23.

The announcement filed as Exhibit 99.1 put common shares, including shares underlying the preferred, at approximately 34.18 million after the transactions on an as-converted basis. The additional warrant potential must be read separately; the ownership percentages should not be reverse-engineered into an exact current float.

Bolt stockholders did not have to approve the acquisition closing. Their approval was required for the preferred-to-common conversion under the described Nasdaq rules. The filing also describes resale-registration obligations and lock-ups for certain holders. Closing, conversion, resale registration and actual selling are separate events.

What the October 23 tape shows

The FennEdge session record ranks BOLT second behind MYND. The stored record was rebuilt at October 25, 01:40 ET and contains the following October 23 observations:

Observation Recorded value
Previous close $4.19
Opening price after the news interruption $6.98; +66.6% versus previous close
High of day $7.78 at 10:02 ET
Regular-session close $6.27; +49.6% versus previous close
Session activity About 12.9 million shares; estimated $89.6 million of dollar volume

The session evidence page records a news/resumption entry at 08:40 with trading resumption at 09:50, then a volatility pause at 09:57 and resumption at 10:02. These are the archive's timestamps; they do not establish who knew what before the announcement. The high occurred in the same displayed minute as that second resumption. Minute-level display does not establish the order within the minute.

Calculated from the recorded prices, the close was 10.2% below the open and 19.4% below the high. A large positive change from the previous close therefore coexisted with a decline from the day's opening price. The turnover figure is rounded and is not a count of unique shares or owners.

Later public discussion — unverified commentary

In a BioPharmCatalyst post on October 23, the emphasis was the change in pipeline, financing and dilution. A robot2trade retrospective on October 24 focused on the ownership split and the difference between the price rise and legacy holders' remaining share of the business.

These are examples of public commentary, not independent confirmation or a representative sentiment sample. Community shorthand about money raised should be checked against the filing's expected financing close. We have not adopted posters' valuation calculations, trading instructions or price targets.

FennEdge interpretation

This event combines a new business, financing and a substantially different potential share count. Reading only the cash headline misses the ownership change; reading only the dilution misses the assets being acquired. A pre-deal market capitalization based on the old common-share count does not describe the entire combined company's as-converted capitalization.

Prana's lead program, PRA-216, was described as a Phase 2 bispecific antibody program targeting IL-4Rα and TSLP. Management expected patient data beginning in the second quarter of 2027 and a cash runway into 2028 after the financing proceeds. Those are company expectations. Financing a development program is not evidence that its future trials will succeed.

What remains unknown at this session's cutoff

  • Whether the financing would close on the expected date and the net proceeds after costs.
  • When stockholder approval, preferred conversion and effective resale registration would occur, and how much stock would actually become available for sale.
  • Whether warrants would be exercised and whether the clinical milestones would arrive as described.
  • The causal contribution of each disclosure to each intraday price move. The tape and timestamps alone cannot identify it.

The recap's top-level source-fetch metadata carries an earlier date than the session, so it is not used as proof of source freshness. The market table is attributed to the dated stored session record and its rebuild time. This is a historical source review, not an instruction to buy or sell.
