BHVN: The FDA Accepted the Resubmission. The High Came at 7:51 a.m.

Biohaven gapped 37% after the FDA accepted its troriluzole resubmission. The high came at 7:51 a.m. and it closed 20% below it. What the 8-K said.

Before dawn, an analyst rests her hands on an open regulatory document and looks across a quiet office, while a colleague stands softly out of focus behind her.

Data to the close of October 22, 2026 (ET). Sources checked October 23.

Biohaven filed a short 8-K at 7:00 a.m. on Thursday. By 7:51 the stock was up 56.5%. That was the high of the day. When the regular session opened two hours later, BHVN was already 12.5% below it, and it closed up 25.0% — a strong day on paper, and a hard one for anyone who bought the open.

The filing is worth reading closely, because what it says is narrower than the move.

What the filing says

The 8-K was accepted by the SEC at 7:00:07 ET. It reports one thing: the FDA has accepted for review Biohaven's resubmitted new drug application for Vyglxia (troriluzole) in spinocerebellar ataxia (SCA).

Three details matter:

  • The FDA "considers the resubmission a complete response to the November 4, 2025 action letter." That was the complete response letter in which the FDA declined to approve the drug; the clock on a new review has now started.
  • The target action date (the PDUFA date) is in the first quarter of 2027.
  • The FDA plans to convene an advisory committee of outside experts. The date is "forthcoming in the near term."

It does not say the drug was approved, and it does not describe what the FDA thinks of the new data. The company's own cautionary note says the goal date "does not assure that the FDA will act by that date or approve the NDA."

So the news was a scheduling event: the application is back in review, with a date and a public panel ahead.

How the day traded

All prices are from the FennEdge Daily for October 22.

Price vs. prior close
Prior close (Oct 21) $11.75
First 5-minute bar, 7:00 a.m. $14.25 +21.3%
High of day, 7:51 a.m. $18.39 +56.5%
Open, 9:30 a.m. $16.10 +37.0%
Close, 4:00 p.m. $14.69 +25.0%

Nothing traded before 7:00. The first prints came seconds after the filing, already 21% higher. The run to $18.39 took 51 minutes. By 8:00 the stock was back at $16.24, and the regular session never got above $16.54. BHVN finished 20.1% below its high on 30.5 million shares — about 16 times its recent daily average — and $476.7 million in dollar volume, the most of any stock on the day's gap list.

What we read into it

FennEdge's interpretation, not a recommendation.

Pre-market news tends to be priced before the bell. When a catalyst lands at 7 a.m., the people who react first are trading a thin pre-market book. In our study of 671 gap-ups this year, 53.1% printed their high before the open and 65.3% closed below their opening price. BHVN did both. Those are frequencies, not a rule, but they explain why the open was not the start of the move.

"Accepted for review" is a step, not an outcome. A resubmission being accepted means the FDA agrees the package is complete enough to review. The decision is still months away, and an advisory committee adds a public moment where the story can change in either direction.

There is a supply line. Biohaven has an at-the-market program with J.P. Morgan. Its 10-Q shows about $350 million of capacity left at June 30, after selling 17.2 million shares in the first quarter. Whether any shares were sold into Thursday's move won't be known until the next quarterly report. The same filing describes the troriluzole financing: on approval, Biohaven owes a milestone payment equal to 35% of the funded amount, plus a royalty on sales.

It is on the edge of "small cap." With 151.0 million shares outstanding (as of August 6), BHVN closed with a market value of about $2.2 billion. It made the gap list on the size of the move, not the size of the company.

What we don't know

  • The advisory committee date and the questions the FDA will put to it.
  • Whether the ATM was used on October 22.
  • How the market will price the months between now and the first-quarter decision.
