DKI prices a $6 million offering: $1.44 units and zero-cash warrants

Read DarkIris’s October 8, 2026 offering pricing: $1.44 units, roughly $6 million gross, zero-cash warrant terms and expected October 9 closing.

DKI announced offering pricing today. The financing amount, the contents of a unit and the warrant conversion terms answer different questions. A single offering-price headline leaves part of the share-structure story out.

This article uses the issuer’s October 8 pricing release (GlobeNewswire text reproduced by StockTitan), published at 09:25 ET on October 8, 2026. Its status is priced, with closing expected.

The priced transaction

TermIssuer disclosure
Size4,166,666 units; approximately $6 million gross before fees.
Unit price$1.44, including one Class A share and one warrant.
Alternative$1.4399 pre-funded units, plus $0.0001 pre-funded exercise; one-for-one replacement.
Warrant$2.04 cash exercise; immediately exercisable, six-month expiry. Zero-cash alternative: approximately 12 shares per warrant.
ClosingExpected around October 9, subject to conditions.

The alternative units replace ordinary units; do not add their counts together. Gross proceeds also differ from net cash after expenses and from any later cash received on warrant exercises.

Replace the preliminary numbers

The September 30 preliminary F-1 (full text reproduced by StockTitan) used an assumed $1.20 unit price and roughly $5 million size, while warning that final pricing could differ. The priced terms now use $1.44 and roughly $6 million. Check the document stage before relying on an older screenshot.

The announcement reports that F-1 registration 333-299200 became effective October 8 and refers to F-1MEF 333-299359. Effectiveness, pricing and closing are separate milestones. Closing establishes delivery and funding; an expected date does not establish that it has occurred.

Why the $2.04 exercise price is not the whole story

A one-share cash exercise calculation misses the zero-cash alternative. Evaluate the two paths separately rather than counting them as two exercises of the same warrant.

The release rounds the ratio. Do not turn that approximation into an exact legal maximum. Potential warrant shares are not today’s issued shares or current float. They do not establish when a holder will sell, whether a holder has sold, or a future price change. Ownership dilution and market-price performance require different evidence.

A unit price and a share quote describe different securities

The unit includes a share and a warrant; the ordinary-share quote prices the share alone. Before describing a discount, identify the instrument and comparison timestamp. The unit price does not establish a ceiling or floor for subsequent trading.

Share-count changes and float updates also need separate reconciliation. See share price, market cap and float and the warrant glossary entry.

The next documents to check

Use DarkIris’s SEC EDGAR record to check the final prospectus, warrant agreement and closing disclosure. Reconcile actual units sold, net proceeds, the precise exercise formula and restrictions, exercise activity and dated share counts. Closing remains expected in the source used here.

When researching DKI, distinguish an ordinary-share quote from a package that includes a warrant. Continue with stock warrants and potential dilution or offerings, dilution and reverse splits. This is a financing-terms explanation without a trading-direction verdict.
